Terms of Use

The agreement between you and Okmall when you buy or sell on our platform

Acceptance of Terms

Welcome to Okmall. By accessing or using our website at okmall.ng, our mobile app, or creating an account, you confirm that you have read, understood, and agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy.

If you do not agree to these Terms, please do not use Okmall. These Terms constitute a legally binding agreement between you (“the user”) and Okmall (“we”, “us”, “our”).

If you are using Okmall on behalf of a registered business as a Vendor, you represent that you have authority to bind that business to these Terms.

The Service

Okmall is an online marketplace that connects buyers with vendors and individual sellers of thrifted and pre-loved goods across Nigeria. The service includes:

  • A multi-vendor storefront where customers can browse, search, and purchase listed products
  • Tools for vendors and personal sellers to list products, manage orders, and track earnings
  • Secure order payment and seller payout processing
  • A buyer protection window and dispute resolution process for orders that don’t go as expected
  • Direct messaging between a customer and a vendor/seller about a specific order

We reserve the right to add, modify, suspend, or discontinue any feature of the service at any time. We will make reasonable efforts to notify users of significant changes that affect their use of the service.

Okmall is provided “as is.” While we strive for high availability, we do not guarantee that the service will be uninterrupted, error-free, or available at any particular time.

Your Account & Roles

To use Okmall, you must create an account by providing your name, email address, phone number, and a password. Okmall has three account types:

  • Customer — for browsing and purchasing products.
  • Vendor — for running a full store, typically as a registered or established thrift business.
  • Personal Seller — for individuals selling items without running a full store.

By registering, you agree that:

  • All information you provide at registration is accurate, current, and complete.
  • You will keep your registration, store, and delivery address information up to date.
  • You are at least 18 years of age.
  • You will maintain the security and confidentiality of your password and will not share your login credentials with anyone else.
  • You are responsible for all activity that occurs under your account, whether or not you authorised it.
  • You will notify us immediately if you believe your account has been compromised or accessed without your authorisation.

Each account is for use by a single individual or a single registered business. We reserve the right to refuse registration or suspend accounts at our discretion, particularly where there is evidence of misuse, false information, or breach of these Terms.

Buying on Okmall

When you place an order on Okmall, you agree to pay the listed price plus any shipping fee shown at checkout, in Nigerian Naira (₦). Payments are processed securely through our payment processor.

Every product listing is created and managed by the individual vendor or personal seller selling it. While we require sellers to list products accurately, Okmall does not physically inspect items before they are shipped, and each seller is responsible for the accuracy of their own listings and the condition of the item they send.

Buyer Protection After an order is marked delivered, you have 24 hours to confirm everything is as expected. If there’s a problem — the item doesn’t match its listing, arrives damaged, or doesn’t arrive at all — you can raise a dispute directly from your order within this window. If no dispute is raised before the window closes, the order is automatically finalised.

If you raise a dispute, the seller has 48 hours to respond with their side and any evidence. If they don’t respond in time, the dispute is automatically escalated to our team for review. We aim to resolve every dispute fairly, based on the information and evidence both sides provide.

A seller’s shipping coverage (which states or cities they deliver to, and their delivery rates) is set by that seller and shown before you check out. Okmall is not responsible for delivery delays caused by circumstances outside a seller’s or our reasonable control, such as courier or logistics disruptions.

Selling on Okmall

Vendors and Personal Sellers agree to the following additional terms:

  • Must complete identity verification before withdrawing earnings
  • May optionally provide CAC registration details
  • Sets their own shipping coverage and rates
  • Product sales are subject to Okmall’s Vendor commission rate

  • For individuals selling items without running a full store
  • Must also complete identity verification before withdrawing earnings
  • Sets their own shipping coverage and rates
  • Product sales are subject to Okmall’s Personal Seller commission rate
Commission & Payouts Okmall deducts a commission of 10% (Vendors) or 20% (Personal Sellers) from each product sale before your earnings become available for withdrawal. A separate 1.5% is deducted from shipping fees collected — this exists solely to cover bank/payment gateway transfer charges, and is not a source of revenue for Okmall. Commission rates in effect at the time an order is completed apply to that order and are not changed retroactively by a later rate change. The minimum withdrawal amount is currently ₦5,000.

By listing a product, you confirm that:

  • You have the right to sell the item and that the listing (description, condition, photos, and price) is accurate and not misleading.
  • The item is legal to sell in Nigeria and does not infringe on any third party’s rights.
  • You will fulfil orders promptly and in line with the shipping coverage and timelines you’ve set.
  • You will respond to disputes raised against your orders within the response window, and cooperate in good faith to resolve them.

Earnings from an order are held until the order is completed (either the buyer protection window closes with no dispute, or a dispute is resolved in your favour) before becoming available for withdrawal. Payouts are made to the bank account you’ve registered, and require completed identity verification.

We reserve the right to suspend a store, delist products, or withhold a payout where we reasonably believe a listing is fraudulent, misleading, prohibited, or in breach of these Terms.

Acceptable Use

You agree to use Okmall only for its intended purpose — buying and selling genuine goods — and in accordance with all applicable Nigerian laws and regulations. The following are strictly prohibited:

Selling prohibited or illegal items Counterfeit goods, stolen items, or anything illegal to sell under Nigerian law
Fraudulent disputes or evidence Raising false disputes, or submitting fabricated or misleading evidence during a dispute
Circumventing the platform Arranging payment or delivery for an Okmall order outside the platform to avoid commission or buyer protection
Impersonation or false verification Submitting someone else’s identity documents, or a document that isn’t genuinely yours, during identity verification
Automated or bulk access Using bots, scrapers, or automated tools to access, extract, or abuse the service without our written permission
Interfering with the service Attempting to hack, overload, or disrupt the website, app, or underlying infrastructure
Abuse toward other users Harassment, threats, or abusive communication through order chat or disputes

Violation of these rules may result in immediate suspension or termination of your account, withholding of a pending payout where fraud is reasonably suspected, and reporting of illegal activity to the appropriate Nigerian authorities.

Your Content

You own your content. Product listings, photos, descriptions, store details, and messages you submit belong to you. We do not claim ownership over your content.

By listing a product or otherwise submitting content to Okmall, you grant us a limited, non-exclusive licence to store, display, and process that content for the purpose of operating the marketplace — for example, showing your listing to buyers, or including your store name on an order confirmation. This licence ends when the content is removed or your account is deleted, except where retention is required for legal or fraud-prevention purposes (see our Privacy Policy).

You are responsible for the accuracy of everything you list or submit. Content that is false, misleading, or infringes on someone else’s rights may be removed, and repeated violations may result in account suspension.

Feedback or suggestions you submit to us about the service may be used by us freely to improve the platform, without any obligation to compensate you.

Intellectual Property

All elements of the Okmall platform — including but not limited to the website and app design, layout, software, code, logo, brand name, and all written or visual content produced by us — are the intellectual property of Okmall and are protected under applicable Nigerian and international intellectual property laws.

Your account gives you a personal, non-transferable, non-exclusive licence to use the platform for its intended purpose — buying or selling — for as long as your account remains active. This licence does not grant you the right to:

  • Copy, reproduce, or redistribute Okmall’s design, branding, or platform content for any purpose outside your own use of the marketplace.
  • Reverse-engineer, decompile, or attempt to extract the source code of our platform.
  • Use our brand name, logo, or any associated trademarks without our prior written consent.
  • Resell, sublicense, or commercially exploit access to the platform itself.

Disclaimers

To the maximum extent permitted by Nigerian law, Okmall is provided on an “as is” and “as available” basis. We make no warranties, express or implied, including but not limited to:

  • Product quality and accuracy: Okmall is a marketplace connecting independent buyers and sellers. We do not manufacture, physically inspect, or guarantee the quality, safety, condition, or accuracy of any listing — that responsibility rests with the seller, subject to our buyer protection and dispute process.
  • Uninterrupted service: We do not guarantee that the platform will be available at all times, free of errors, or that defects will be corrected immediately. We will make reasonable efforts to maintain availability and fix issues promptly.
  • Delivery timelines: Delivery times depend on the seller’s shipping coverage and third-party logistics providers, and are not guaranteed by Okmall.
  • Third-party services: We are not responsible for the performance, availability, or policies of third-party services, including payment processors, that we use to deliver the service.

Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

Limitation of Liability

To the fullest extent permitted by applicable law, Okmall shall not be liable to you for any indirect, incidental, consequential, or special damages arising from your use of the service, including but not limited to:

  • Loss arising from a seller’s inaccurate listing or a buyer’s misuse of the dispute process
  • Delivery delays caused by a seller or third-party logistics provider
  • Loss of earnings or income arising from account suspension due to a breach of these Terms
  • Data loss resulting from circumstances outside our reasonable control
  • Temporary unavailability of the service or any feature

Where we are found liable for any direct loss or damage arising from our service, our total liability to you shall not exceed the total commission Okmall earned from your account’s orders in the twelve months preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory under which a claim is brought, whether in contract, tort, negligence, or otherwise.

Termination

By you: You may close your account at any time by contacting us. Any pending order, dispute, or withdrawal must be resolved first. On account closure, your profile data will be handled in accordance with our Privacy Policy.

By us: We may suspend or terminate your account without notice if we determine, in our reasonable judgement, that you have:

  • Breached any provision of these Terms
  • Engaged in fraudulent, abusive, or illegal activity through the platform
  • Used the platform in a way that could harm other users or the integrity of the service
  • Provided materially false information at registration or during identity verification

If your account is terminated due to a breach of these Terms, any pending payout may be withheld pending investigation. We will make reasonable efforts to notify you of termination unless doing so would interfere with an investigation or legal proceeding.

Upon termination for any reason, your right to use the service ends immediately. Provisions of these Terms that by their nature should survive termination — including Sections 5, 7, 8, 9, 10, and 13 — will remain in effect.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms or your use of Okmall shall be subject to the exclusive jurisdiction of the courts of Nigeria.

Before initiating any formal legal proceedings, we encourage you to contact us first at the address in Section 14. We are committed to resolving concerns fairly and promptly, and most issues — including order disputes — can be addressed through our in-platform dispute process or direct communication with our team.

If a matter cannot be resolved through direct communication, either party may seek resolution through a recognised alternative dispute resolution (ADR) body before resorting to litigation, in accordance with Nigerian law.

Changes to These Terms

We may update these Terms from time to time to reflect changes in the service, law, or our business practices. This includes changes to commission rates, the buyer protection window, or dispute response windows. When we make material changes, we will:

  • Update the “Effective Date” at the top of this page.
  • Notify registered users by email or in-app notification before the updated Terms take effect, where changes materially affect user rights or obligations.
  • For minor clarifications or administrative updates, we will update this page without a separate notification.

Your continued use of Okmall after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the service before the effective date of the change.
